Welcome to Discount Prime, operated by Aspedan Inc., a company registered in Toronto, Ontario, Canada. These Terms of Service ("Terms") govern your access to and use of our marketing website (discountprime.app) and our Shopify application (collectively, the "Service"). By accessing, installing, or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By using the Service, you acknowledge that you have read these Terms, understand them, and agree to be legally bound by them. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use of the Service following the publication of modified Terms constitutes your acceptance of the modified Terms.

2. Definitions

• "Website" refers to discountprime.app and its subdomains
• "App" refers to the Discount Prime Shopify application
• "Merchant" refers to a Shopify store owner who installs the App
• "Visitor" refers to anyone browsing the Website without installing the App
• "User Content" refers to content you provide through the Service
• "Shopify" refers to Shopify Inc. and its platforms

3. Eligibility

You represent and warrant that you are either (a) an individual at least 18 years old, or (b) a legal entity with authority to enter into binding agreements. Users in the EU must be at least 16 years old. We do not knowingly collect information from individuals under 13 years of age.

For Shopify Merchants: You must have an active Shopify store and comply with Shopify's Terms of Service and Acceptable Use Policy.

4. Website Terms (discountprime.app)

When you visit our Website (not the Shopify App), the following terms apply:

• You may browse publicly available content without creating an account
• Contact form submissions and newsletter sign-ups are subject to our Privacy Policy
• We use cookies for analytics and functionality — see our Cookie Policy
• Content on this Website is for informational purposes and does not constitute professional advice

5. User Conduct and Prohibited Uses

You agree not to:

• Violate any applicable law or regulation
• Infringe on intellectual property rights of others
• Disrupt or interfere with the Service or other users' access
• Attempt to gain unauthorized access to accounts, systems, or networks
• Reverse-engineer, decompile, or attempt to discover source code
• Analyze the Service for competitive purposes
• Use the Service in connection with illegal products, drugs, stolen goods, or items related to violence, hate, or harassment
• Violate Shopify's acceptable use policies
• Engage in automated scraping, data mining, or unauthorized data collection

6. Intellectual Property Rights

All content, features, and functionality of the Service (including software, text, graphics, logos, and images) are owned by Discount Prime (Aspedan Inc.) or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You retain all rights to any User Content you provide, but you grant Discount Prime a worldwide, royalty-free license to use, reproduce, and display your User Content for operational and improvement purposes. You warrant that you own or control all rights to User Content.

7. Affiliate Disclosure

Note: The discountprime.app marketing website may include links to third-party retailers. Discount Prime may receive affiliate commissions from clicks or purchases made through these links. This does not affect the price you pay.

Third-party offers are provided "as-is" without warranty. We are not responsible for coupon accuracy, availability, or third-party transactions.

8. Shopify App Terms

The following terms apply specifically to Shopify merchants who install the Discount Prime app from the Shopify App Store.

8.1 Service Description

Discount Prime is a Shopify app that enables merchants to create, manage, and optimize discount campaigns. Our Service includes:

• 8+ discount campaign types (flat, tiered quantity, tiered spend, BOGO, shipping, etc.)
• Real-time profit attribution and ROI analytics
• Storefront widgets (countdown timer, progress bar, stock alerts, sales badges)
• Integration with Shopify Functions for native checkout discounts
• AI-powered discount optimization (roadmap feature)

8.2 Shopify Partner Program Compliance

Discount Prime is a certified Shopify Partner and complies with the Shopify Partner Program Agreement. This includes:

• Using only officially approved Shopify APIs
• Respecting merchant data access permissions
• Honoring Shopify's app/uninstalled webhook for data deletion
• Complying with Shopify's app review guidelines

8.3 API Permissions

When you install the App, you authorize Discount Prime to access your Shopify store data via the following API scopes:

• read_products — To apply discounts to specific products/collections
• read_orders — To calculate campaign ROI and performance
• read_customers — To enable segment-based discounts
• write_discounts — To create and manage automatic discounts
• read_price_rules — To prevent discount conflicts

You can revoke these permissions at any time by uninstalling the App from your Shopify admin.

8.4 Your Responsibilities as a Merchant

By using the Discount Prime app, you agree to:

• Ensure your discount campaigns comply with applicable laws and regulations
• Not create misleading or deceptive discount offers
• Monitor campaign performance and adjust settings as needed
• Maintain accurate cost price data if using profit-optimization features
• Comply with Shopify's terms regarding checkout and discount functionality

8.5 Discount Accuracy and Limitations

No Guarantee of Specific Outcomes: Discount Prime provides tools to create discount campaigns, but we do not guarantee specific revenue increases, conversion rates, or profit margins. Results depend on your campaign configurations, pricing strategy, market conditions, and other factors outside our control.

Campaign Conflicts: If you have multiple discount apps or native Shopify discounts, conflicts may occur. You are responsible for managing discount stacking rules.

9. Billing and Subscription

9.1 Pricing and Plans

Discount Prime offers subscription plans billed via the Shopify Billing API. Current pricing is displayed in the Shopify App Store and within the app. Plans may include:

• Free plan with limited features
• Paid plans with additional features and higher usage limits
• Usage-based charges for certain features (if applicable)

9.2 Payment Processing

All payments are processed through Shopify's Billing API. You authorize Shopify to charge your payment method on file for subscription fees. We do not store your payment card information.

9.3 Free Trials

If we offer a free trial, you will not be charged during the trial period. At the end of the trial, you will be automatically billed unless you cancel before the trial ends.

9.4 Refunds

Subscription fees are generally non-refundable. If you believe you were charged in error, contact us at support@discountprime.app within 30 days. Refund requests are evaluated on a case-by-case basis.

10. Data Handling and Privacy

10.1 Data Processor Role

When you use Discount Prime, we act as a Data Processor under GDPR Article 28, processing your customers' data on your behalf. You remain the Data Controller for your customers' personal data.

10.2 Data Deletion on Uninstall

When you uninstall Discount Prime from your Shopify store, we receive the app/uninstalledwebhook from Shopify. Within 48 hours, we will:

• Delete all campaign configurations and settings
• Delete all cached product, order, and customer data
• Retain only: merchant email (for re-installation support) and billing records (legal requirement)

To request complete data deletion including billing records, contact support@discountprime.app.

10.3 Data Security

We implement industry-standard security measures including encryption (TLS/SSL), access controls, and regular security audits. See our Privacy Policy for details.

11. Disclaimers and Limitation of Liability

11.1 AS-IS Basis

The Service is provided on an "AS-IS" and "AS-AVAILABLE" basis without warranties of any kind, express or implied. Discount Prime disclaims all warranties including merchantability, fitness for a particular purpose, and non-infringement.

11.2 Limitation of Liability

To the fullest extent permitted by law, Discount Prime and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including:

• Lost profits or revenue
• Lost sales or customers
• Data loss or corruption
• Campaign configuration errors
• Discount calculation inaccuracies
• Third-party service interruptions (including Shopify outages)

Our total liability shall not exceed the fees you paid in the 12 months preceding the claim.

11.3 Indemnification

You agree to defend, indemnify, and hold harmless Discount Prime, its affiliates, and their officers, directors, and employees from any claims, damages, or costs arising from your violation of these Terms, your use of the Service, or your violation of any third-party rights.

12. Termination

12.1 By Discount Prime

We may suspend or terminate your access to the Service immediately if you materially breach these Terms and fail to cure the breach within 14 days of receiving written notice. We may also terminate accounts for extended inactivity or violation of Shopify's policies.

12.2 By You

You may terminate your subscription and uninstall the App at any time through your Shopify admin. Upon termination, you forfeit access to the Service and your data will be handled per Section 10.2.

12.3 Effect of Termination

Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive termination.

13. Dispute Resolution and Governing Law

13.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at support@discountprime.app to attempt to resolve any disputes informally.

13.2 Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to conflict of law principles. You consent to the exclusive jurisdiction of the courts located in Toronto, Ontario.

13.3 For EU/EEA Users

Consumer rights under EU law are preserved. You may pursue claims in your home country's courts. If you are a consumer in a Member State, you may also lodge a complaint with your national consumer protection authority.

13.4 For Quebec Users

These Terms are subject to the laws of Quebec where applicable. Any dispute shall be resolved through negotiation, mediation, or the appropriate Quebec tribunal.
